These Terms and Conditions (the "Terms") govern access to and use of the website located at www.PureManure.com.au and any associated platform, applications, or services (together, the "Platform") operated by PureManure Holdings Pty Ltd, ACN 695 638 165 ("PureManure," "we," "us", or "our").
By registering an Account, submitting a Listing, placing an Order, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
The Platform facilitates the trading of broiler litter and related agricultural by-products between Producers and Buyers on an anonymised basis, with PureManure acting as transaction intermediary and arranging all logistics. This is fundamental to how the Platform operates and is addressed in detail in clause 3.

- Platform Anonymity
- The arrangement described in clause 3 under which Producers and Buyers are identified to one another only by platform-issued codes, and do not directly interact.
- Producer
- A person or entity that lists Goods for sale through the Platform, referred to as "Seller" in some legacy documentation; the terms are interchangeable.
- Transaction
- The sale and purchase of Goods formed when a Producer's Listing is accepted by a Buyer and confirmed by PureManure.
2. Eligibility and Accounts
The Platform is intended for use by business entities operating in the agricultural sector, and by individuals authorised to act on their behalf. To register an Account you must:
- be at least eighteen (18) years of age;
- have the authority to bind the business, farm, or entity you represent, including a valid ABN where applicable; and
- provide accurate, current, and complete registration information, and keep it updated.
You must not operate more than one Account per entity without our written consent, and you are responsible for all activity conducted through your Account, whether or not authorised by you.
You must keep your Account credentials confidential. Notify us immediately if you suspect unauthorised access to your Account.
3. Platform Role and Anonymity
Platform Anonymity is a core feature of the Platform and applies to every Transaction. Unless both parties expressly agree otherwise in writing, and except where disclosure is legally required (including for Compliance Documentation, biosecurity, or dispute resolution purposes):
- Producers and Buyers are identified to one another, and within all Compliance Documentation, only by a PureManure-issued platform code (for example, PM-PROD-0291);
- Listing locations are disclosed only as a broad region, never a specific address;
- Logistics Providers and carriers engaged for a Transaction are known to both parties; and
- Producers and Buyers are asked not to identify, contact, or transact directly with one another outside the Platform, or to use information obtained through the Platform to work around it.
PureManure acts as the transaction intermediary for every Order: Producers set an asking price on their Listing, Buyers accept or decline that price, and PureManure arranges all logistics, documentation, and payment flow between the parties. Neither party is required to, or permitted to, interact directly with the other in connection with a Transaction.
Circumventing Platform Anonymity, including by soliciting direct trade outside the Platform, is a breach of these Terms and may result in suspension or termination of your Account.
4. Producer Obligations
A Producer creating a Listing represents and warrants that:
- they are the lawful owner of the Goods listed, free from any security interest, encumbrance, or third-party claim;
- the Listing includes accurate volume, location (region only), and asking price, together with accurate supporting quality information;
- the Goods comply with all applicable biosecurity, animal by-product, and environmental regulations in the state or territory of origin; and
- they will promptly update or withdraw a Listing if the volume or quality of the Goods changes.
Producers must cooperate with PureManure in preparing all Compliance Documentation required for a Transaction and must not misrepresent the source, treatment, or condition of Goods.
5. Buyer Obligations
A Buyer accepting a Listing represents and warrants that:
- they intend to use the Goods for a lawful agricultural or land-management purpose;
- they hold, or will obtain, any permit, licence, or approval required in their state or territory to receive and apply the Goods; and
- they will provide accurate delivery region and access information to enable PureManure to arrange logistics.
Buyers must review the Listing details before placing an Order. PureManure recommends Buyers make their own enquiries as to suitability for their intended use.
6. Orders, Transactions, and Formation of Contract
A Producer's Listing constitutes an offer to sell at the stated asking price. An Order is formed when a Buyer accepts a Listing through the Platform and pays the deposit. PureManure will confirm the Order to both parties by platform code within the timeframe stated on the Platform.
A Producer may decline an Order prior to confirmation at its discretion; a Transaction is only formed once PureManure has confirmed acceptance to both parties and a deposit has been paid. PureManure may decline to process any Order where required Compliance Documentation cannot be completed, where payment is not received in full, or where fraud is suspected. Where PureManure declines to process an Order for these reasons, the Buyer's payment will be refunded in full within a reasonable time in accordance with clause 10, except where the Order is declined due to suspected fraud on the part of that Buyer.
7. Payments and Fees
Payment for a Transaction is made to PureManure, which holds and releases funds to the Producer in accordance with PureManure's payment and escrow process, less any applicable fees.
PureManure's current fee schedule — including platform fees, logistics paddock drop charges, and any applicable lab testing and coordination fees — is published on the Platform and will be disclosed and known to both parties before an Order is confirmed. Fees may be updated from time to time; the fees disclosed at the time an Order is placed will apply to that Transaction.
All amounts on the Platform are in Australian dollars and, where applicable, exclusive of GST unless stated otherwise.
8. Logistics
PureManure arranges all logistics for a Transaction. Producers and Buyers do not arrange transport directly with one another. PureManure will engage a Logistics Provider, coordinate collection and delivery windows, and provide tracking information to both parties by platform code.
Buyers and Producers must provide accurate site access, timing, and handling information to enable safe and compliant collection and delivery. PureManure is not liable for delays caused by inaccurate information provided by either party, or by matters outside PureManure's reasonable control (including weather, road closures, or Logistics Provider delay).
9. Compliance, Permits, and Biosecurity
Compliance Documentation is generated or coordinated by PureManure for each Transaction based on the origin and destination state or territory. This may include movement documentation, biosecurity declarations, and any permits required under applicable state legislation.
- Producers and Buyers must provide accurate information to enable Compliance Documentation to be prepared correctly and promptly.
- It remains each party's responsibility to hold any licence, permit, or approval independently required of them under state or Commonwealth law.
- PureManure will retain a copy of Compliance Documentation for each Transaction in accordance with its record-keeping obligations and privacy policy.
Nothing in this clause transfers statutory regulatory responsibility from a Producer or Buyer to PureManure; PureManure's role is to facilitate and coordinate documentation, not to act as regulator.
10. Cancellations, Rejections, and Refunds
An Order cannot be declined by a Producer prior to delivery, after paying a deposit. PureManure will not refund the Buyer's payment as set out in clause 6.
Where a Transaction proceeds but a dispute arises as to quality, volume, or delivery, the affected party must notify PureManure promptly, in writing, with supporting detail. PureManure will facilitate resolution between the parties but is not the guarantor of Goods quality.
11. Prohibited Conduct
You must not, in connection with the Platform:
- attempt to identify, contact, or trade directly with a counterparty outside the Platform in a manner inconsistent with clause 3;
- commit or facilitate a criminal offence, fraud, or other unlawful activity;
- transmit malicious code, or attempt to interfere with, hack into, or degrade the Platform;
- misrepresent the quality, quantity, or origin of Goods, or falsify Compliance Documentation;
- copy, scrape, reproduce, or redistribute Platform content or data; or
- send unsolicited advertising or promotional material through the Platform.
Some conduct described above may also constitute a criminal offence. Where required by law, we may report suspected breaches to the relevant authorities. We may suspend or terminate your Account for a breach of this clause.
12. Intellectual Property and Software Licence
All software, text, graphics, and data made available through the Platform are owned by PureManure or its licensors. Subject to these Terms, PureManure grants you a limited, non-exclusive, non-transferable licence to access and use the Platform for its intended purpose.
You must not copy, reverse-engineer, modify, sub-license, or create derivative works from the Platform or its underlying software.
13. Third-Party Services and Linked Sites
The Platform may contain links to third-party websites or incorporate third-party payment or logistics services. We do not control, and are not responsible for, the content, accuracy, or conduct of any third party. Your use of any linked site or third-party service is at your own risk and subject to that party's own terms.
14. Privacy
Our collection, use, and disclosure of personal information is governed by our Privacy Policy, available at www.PureManure.com.au. Given the central role of Platform Anonymity in our service, we take particular care in how counterparty-identifying information is stored, masked, and disclosed — see our Privacy Policy for detail.
15. Disclaimers
The Platform, and all Listings and Compliance Documentation made available through it, are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we do not warrant that the Platform will be uninterrupted, error-free, or free of viruses, and we make no representation as to the accuracy of information supplied by a Producer or Buyer.
16. Limitation of Liability
To the maximum extent permitted by law, and subject to any consumer guarantees or rights that cannot lawfully be excluded, PureManure's total aggregate liability arising out of or in connection with a Transaction is limited to the fees paid to PureManure in respect of that Transaction along with unpaid transaction costs to the seller and transporter. PureManure is not liable for indirect, consequential, or special loss, including loss of profit, arising from a Transaction, Listing, or use of the Platform.
Nothing in these Terms excludes, restricts, or modifies any right or guarantee under the Australian Consumer Law or other applicable law that cannot lawfully be excluded.
17. Indemnity
You agree to indemnify and hold harmless PureManure, its directors, officers, employees, and agents from any third-party claim, liability, loss, or cost (including reasonable legal fees) arising from your breach of these Terms, misuse of the Platform, or a Transaction you enter into.
18. Suspension and Termination
We may suspend, restrict, or terminate your Account for breach of these Terms, suspected fraud, or attempts to circumvent Platform Anonymity. We will provide notice and reasons where reasonably practicable, though in some cases — for example, suspected fraud — we may need to act first to protect the integrity of the Platform.
19. Dispute Resolution
Before commencing court proceedings (except for urgent injunctive relief), a party must give the other written notice of a dispute and allow fifteen (15) Business Days for the parties to attempt to resolve it in good faith, including through PureManure where the dispute concerns a Transaction.
20. Governing Law
These Terms are governed by the laws of New South Wales, Australia, and each party submits to the non-exclusive jurisdiction of the courts of New South Wales.
21. General
- Amendments — we may update these Terms from time to time; the version in force at the time of a Transaction applies to that Transaction, and continued use of the Platform after an update constitutes acceptance.
- Severability — if any provision of these Terms is found invalid or unenforceable, the remaining provisions continue in full force.
- Entire agreement — these Terms, together with our Privacy Policy and any published fee schedule, constitute the entire agreement between you and PureManure regarding the Platform.
- Assignment — you must not assign or transfer your rights under these Terms without our written consent.
